Terms of Service & Coaching Agreement

PLEASE READ THESE TERMS CAREFULLY. By clicking "I Agree," "Sign Up," or otherwise accessing the services provided by The Business Coach, LLC ("Coach"), you ("Client") agree to be bound by these Terms of Service. If you do not agree, do not purchase or access the services.

1. Description of Services

Coach provides business mentorship, strategy, and advisory services through various formats, including but not limited to memberships, mastermind groups, and one-on-one coaching (collectively, "The Services").

2. "Advice Only" & Professional Disclaimer

  • Advisory Nature: Client understands that Coach provides advice and suggestions only. Coach does not build systems, perform technical work, or implement business operations for the Client.
  • No Guarantees: Coach does not guarantee specific financial outcomes, revenue increases, or business success. Results are dependent on Client’s implementation and external market factors.
  • Not Professional Advice: The Services do not constitute legal, medical, financial, or tax advice. Coach is not a licensed attorney, CPA, or financial advisor. Client is encouraged to consult with such professionals before making significant business decisions.
  • Client Responsibility: All decisions made by the Client based on information provided during The Services are the sole responsibility of the Client.

3. Intellectual Property (IP)

  • Ownership: All materials, videos, worksheets, and frameworks provided by Coach are the proprietary intellectual property of Coach.
  • Limited License: Client is granted a non-exclusive license to use these materials for their own business. Client may share materials with their internal team or office staff for the purpose of business implementation, but may not sell, redistribute, or share these materials with outside third parties or competitors.

4. Mastermind & Group Confidentiality

If Client participates in a mastermind or group setting, Client agrees to maintain strict confidentiality regarding the business data, ideas, and personal information shared by other members. Client agrees not to disclose any "insider" information learned from other participants to any third party.

5. Payments, Cancellations, and Termination

  • Payment: Client agrees to pay the fees associated with the selected service level (e.g., recurring subscription or one-time payment).
  • No Penalties: There are no late fees or "lock-in" periods.
  • Cancellation: Client may cancel their membership or coaching agreement at any time. Upon cancellation, access to certain subscription-based materials may be revoked.
  • Coach’s Right to Terminate: Coach reserves the right to terminate the relationship or remove Client from any group/program at any time, for any reason, at Coach's sole discretion.

6. Limitation of Liability & Hold Harmless

To the fullest extent permitted by law, Client agrees to indemnify and hold Coach harmless from any and all claims, losses, or damages resulting from Client’s business decisions. Coach’s total liability for any claim arising out of this Agreement shall be limited to the total amount actually paid by Client to Coach for the specific service in question. In no event shall Coach be liable for indirect, incidental, or consequential damages.

7. Governing Law & Jurisdiction

This Agreement is governed by the laws of the State of Idaho. Any disputes arising from this Agreement shall be resolved exclusively in the courts of Idaho Falls, Idaho.
